Terms of Service

1. Introduction

Welcome to Cobuntu. These Terms of Service ("Terms") govern your access to and use of the Cobuntu platform, website, and services. By accessing or using Cobuntu, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Account Registration

To use certain features of Cobuntu, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account.

3. Platform Role

Cobuntu provides a platform that allows creators to sell digital products and event tickets, and communities to list and promote these items in exchange for a commission. Cobuntu acts as an intermediary platform and payment facilitator, but we are not the creator, seller, or organizer of the products and events listed on the platform.

4. Fees and Payments

Platform Fees

Cobuntu charges a platform fee on transactions processed through the platform. The fee depends on your subscription tier:

  • Free tier: 8% platform fee on all transactions.
  • Creator tier (€19/month): 5% platform fee on all transactions.
  • Pro tier (€49/month): 3% platform fee on all transactions.

Products owned and sold directly by a community within their own hub to their own members incur a 0% platform fee, regardless of subscription tier. Hosting your community is always free — platform fees only apply to sales made through your Hub.

Payment Processing

All payments are processed securely by Stripe. Sellers are responsible for Stripe's payment processing fees (typically 2.9% + $0.30 per transaction) and Stripe's tax collection fees (0.5% of the total charged amount). These fees are deducted from the seller's share of the revenue.

Revenue Distribution

When a purchase is made through a community listing, the revenue is distributed automatically. The community receives its agreed-upon commission from the net amount. The platform fee and Stripe processing fees are deducted from the seller's remaining portion.

5. Escrow and Payouts

To protect buyers and ensure smooth refund processing, all funds are held in escrow before being paid out to sellers:

  • Digital products: Funds are held in escrow for 14 days from the date of purchase.
  • Event tickets: Funds are held in escrow until 7 days before the event starts (or 14 days from purchase, whichever is later).

Payouts are created automatically on the 1st and 15th of each month and are processed 14 days after creation. The minimum payout amount is $10 for automatic processing, or $1 for manual requests.

6. Refund Policy

Cobuntu operates an escrow-based refund policy. Refunds are only available while funds are held in escrow. Once the escrow period expires and funds are transferred to the seller, refunds can no longer be processed through the platform.

7. Content and Conduct

You retain ownership of any content you post, upload, or otherwise make available on Cobuntu. By posting content, you grant Cobuntu a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for the purpose of operating and providing the platform.

You agree not to post content or sell products that:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Contain malicious code, viruses, or harmful software
  • Are fraudulent, deceptive, or misleading
  • Promote hate speech, violence, or illegal activities

Cobuntu reserves the right to remove any content or suspend any account that violates these Terms.

8. Perpetual Buyer Access

When a buyer purchases a digital product on Cobuntu, the platform creates an immutable snapshot of the files at the time of purchase. Buyers retain perpetual access to this snapshot, even if the seller later modifies, archives, or deletes the product from their catalog.

9. Termination

You may terminate your account at any time by contacting support or using the account deletion tools provided in the platform. Cobuntu may terminate or suspend your access to the platform immediately, without prior notice or liability, for any reason, including breach of these Terms.

10. Limitation of Liability

To the maximum extent permitted by law, Cobuntu shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the platform.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the date at the top of this page and, where appropriate, sending an email notification. Your continued use of the platform after changes become effective constitutes your acceptance of the revised Terms.
